Terms of Service

1. Introduction

1.1 These Terms of Service (“Terms”) govern your use of the website www.synenco.com (“the Site”) and all services provided by Synenco Canada Calgary (“Synenco,” “we,” “us,” or “our”).
1.2 By accessing or using the Site and our services, you agree to these Terms. If you do not agree, you must discontinue use immediately.
1.3 These Terms apply to all visitors, clients, and users of the Site.

 

2. Definitions

  • Services: Engineering, automation, and control systems solutions provided by Synenco.

  • Client: Any individual or organization that engages Synenco for its services.

  • User: Any individual accessing the Site for information or service inquiries.

  • Confidential Information: Any proprietary or sensitive information shared between Synenco and the Client during the course of a project.

 

3. Scope of Services

3.1 Synenco provides services including but not limited to:

  • Automation system design and implementation

    • Engineering consulting and project management

    • Maintenance and technical support for industrial systems

3.2 All services will be outlined in a formal Statement of Work (SOW) agreed upon by both parties before commencement.

 

4. Use of the Site

4.1 The Site is intended for professional use only. Users must not:

  • Use the Site for unlawful purposes or to infringe on others’ rights

    • Attempt to gain unauthorized access to any part of the Site or its systems

4.2 Synenco reserves the right to suspend or terminate access to the Site for any violation of these Terms.

 

5. Intellectual Property Rights

5.1 All content on the Site, including text, graphics, logos, and software, is owned by Synenco and protected under Canadian copyright laws.
5.2 Clients are granted a non-exclusive license to use deliverables provided by Synenco solely for internal business purposes.

 

6. Confidentiality

6.1 Both parties agree to maintain the confidentiality of all proprietary information shared during a project.
6.2 Confidential Information must not be disclosed to third parties without prior written consent unless required by law.

 

7. Payment Terms

7.1 Payment terms will be outlined in the SOW and may include:

  • A deposit before project commencement (typically 30% of the total value)

    • Milestone-based payments for larger projects

7.2 Late payments will incur a penalty of 1.5% per month on overdue amounts.

 

8. Warranties and Disclaimers

8.1 Synenco warrants that its services will be performed with reasonable skill and care inaccordance with industry standards.
8.2 Synenco does not guarantee uninterrupted access to the Site or error-free operation of deliverables due to factors beyond its control.

 

9. Limitation of Liability

9.1 To the fullest extent permitted by law, Synenco’s liability is limited to the amount paid by theClient for the specific service giving rise to the claim.
9.2 Synenco shall not be liable for indirect, incidental, or consequential damages such as loss of profits or business interruption.

 

10. Termination and Suspension

10.1 Either party may terminate a service agreement with 30 days’ written notice if no binding SOW is in effect at that time.
10.2 Synenco may suspend services immediately if:

  • The Client fails to meet payment obligations after two reminders

    • The Client violates these Terms or applicable laws

10.3 Upon termination, all outstanding fees become immediately payable.

 

11. Data Protection and Privacy

11.1 Synenco complies with Canadian privacy laws (PIPEDA) regarding personal data collection andusage as described in our Privacy Policy.

11.2 Clients have the right to request access to their data or request its deletion by contacting [email protected].

 

12. Force Majeure

12.1 Synenco shall not be held liable for delays or failure in performance caused by events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, labor strikes, orgovernment actions.

 

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by the laws of Alberta, Canada, without regard to conflict-of-law principles.

13.2 Any disputes arising under these Terms shall first be resolved through good-faith negotiations between the parties within 30 days of notification.

13.3 If unresolved, disputes will be submitted to arbitration under Canadian Arbitration Rules in Calgary, Alberta.

 

14. Changes to Terms of Service

14.1 Synenco reserves the right to update these Terms at any time without prior notice; changes will take effect immediately upon posting on the Site.

14.2 Continued use of our Site or services constitutes acceptance of updated terms.
